Format:
The best form for completing this assignment is in the form of a memorandum, with your supporting analysis attached as exhibits. Your memo should be concise, well written and focused on addressing the key questions set out in the assignment.
The reason for this is simple: it forces you to select a role for yourself and to address your responses to a specific audience. Here, among many roles, you can think of yourself:
As an advisor/analyst reporting to the lead director. The memo to the lead director would then “respond” to the four questions posed by the lead director, and would set out in attachments or exhibits, your analysis supporting the positions you take in your memo.
As another independent board member writing to the lead director to share your views on the transaction.
An analyst for a major shareholder (such as CALPERS) who has been asked to advise the investment committee on how they should view the transaction.
Structure:
The memo should not contain the bulk of your analysis. That is for the attachments. Your memo should set out the key points and your assessments and conclusions.
