The board of directors created Corporate Governance guidelines to provide a framework so that board and management operate effectively together to achieve corporate objectives. Directors and members on Googles board are independent as defined by the Sarbanes-Oxley Act of 2002. Google has adoptedhighest levels of ethical business practices which has been defined is Code of Conduct which provide ethical guidelines for directors, officers and employees. (Google,2013)
