1. Read the three Morgan Stanley press releases in chronological order (Sep 22, Sep 29, and Oct 13) and the three news articles related to Mitsubishi UFJs significant investment into Morgan Stanley at the height of the global financial crisis three years ago (in classware for this session).
2. OPTIONAL: If you have interest in knowing more about Lazard Freres, please visit their website at “www.lazard.com”. Lazard is listed on the New York Stock Exchange (symbol: LAZ) so there is an abundance of publicly available information.
1. Mr. Hatakeyama is a 20+ year veteran of global M&A activities, including 16 years in New York. He will give a slide presentation about M&A generally, explain Lazards role in M&A transactions, and offer specific insights into the world of Japanese linked M&A activities.
2. Mr. Hatakeyama was advisor to Mitsubishi UFJ Financial Group when the bank made a critical decision to invest US$9 billion into Morgan Stanley in late September 2008. His presentation will focus on the behind the scenes drama of this deal.
Mr. Hatakeyama: “I will be discussing how MUFG improved the terms of the investment to create downside protection as the situation worsened during the intense three week period of negotiations.”
3. He also has acted as financial advisor on many other well known cross-border M&A transactions, including the Nippon Sheet Glass purchase of Pilkington Glass of the UK.
4. I have asked him to leave about half the class time for Q&A. Mr. Hatakeyama is pleased to respond to any of your questions candidly from his personal experience.
